Terms of Use
These Terms of Use ("Terms") are a legal agreement between you and Espectralview LTD ("SkyDispatch," "we," "us," or "our") governing your access to and use of the SkyDispatch platform, our websites, and related services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms. If you are agreeing on behalf of a business, you represent that you have authority to bind that business, and "you" refers to that business.
These Terms should be read together with our Privacy Policy and Disclaimer, which explain how we handle personal information and important limitations on the Service. Where applicable, a Data Processing Addendum ("DPA") may also apply and is available on request.
The updates published on this date (including Sections 7A, 8A, and 12A) apply to new users immediately. Existing users are notified of material changes as described in Section 13 and accept the revised Terms by continued use of the Service after the update takes effect.
1. Who these Terms apply to
SkyDispatch is a booking-and-dispatch platform for drone operators. These Terms apply to:
- Operators — businesses and individuals who hold a SkyDispatch account (the paying tenant).
- Team members / pilots — individuals invited to an operator's account.
- Website visitors — anyone who visits our marketing site.
- End-customers — individuals who submit a booking request through an operator's booking link.
If you are an end-customer submitting a booking through an operator's link, your booking is a transaction between you and that operator. SkyDispatch provides the platform that enables the booking but is not a party to the underlying drone-service agreement between you and the operator.
2. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to create an account. When you create an account, you agree to provide accurate information and to keep your login credentials confidential. You are responsible for all activity that occurs under your account, including actions taken by team members you invite.
You are responsible for promptly removing access for any team member who should no longer have it (for example, when they leave your business).
3. Subscriptions, billing, and cancellation
The Service is offered on a subscription basis, billed monthly. By subscribing, you authorize us (and our payment processor, Lemon Squeezy) to charge your payment method on a recurring monthly basis until you cancel.
You may cancel your subscription at any time; cancellation takes effect at the end of your current billing period, and you will continue to have access until then.
Payments are non-refundable, including for partial billing periods, except where required by applicable law.
We may change subscription pricing with advance notice; continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.
We may suspend or limit access to the Service if a payment fails and is not resolved within a reasonable period.
4. Operator responsibilities
If you are an operator, you are solely responsible for:
- Holding all licenses, certifications, registrations, and authorizations required to legally operate drones in the jurisdictions where you fly, including any applicable FAA or other civil aviation authority requirements;
- Complying with all applicable aviation, airspace, safety, and privacy laws in connection with your drone operations and your use of the Service;
- Maintaining any insurance appropriate to your drone operations;
- The accuracy of the information you provide through the Service, including job details, availability, and equipment information;
- Your relationship with, and any privacy notices, disclosures, and consents owed to, your end-customers. As described in our Privacy Policy, you are the controller of your end-customers' personal information, and SkyDispatch processes it on your behalf and under your instructions;
- Any agreements, pricing, service quality, or disputes arising between you and your end-customers.
Airspace overlays, mapping data, and similar reference information displayed in the Service (including FAA airspace data) are provided for informational convenience only. They are not a substitute for your own pre-flight planning, authorization checks, or compliance obligations, and we do not guarantee their completeness, accuracy, or currency.
5. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose, or to operate drones in violation of applicable law or airspace restrictions;
- Misrepresent your identity, credentials, licensing, or affiliation with SkyDispatch;
- Interfere with or disrupt the integrity or performance of the Service, including by introducing malware or attempting unauthorized access;
- Reverse-engineer, decompile, or attempt to extract the source code of the Service, except where applicable law permits it;
- Scrape, harvest, or misuse data belonging to other operators or end-customers;
- Use the Service to send unsolicited communications or spam to end-customers;
- Resell, sublicense, or provide access to the Service to third parties outside your own organization without our prior written consent.
We may suspend or terminate accounts that violate this section, with or without notice, depending on the severity of the violation.
6. Content and data ownership
As between you and us, you retain ownership of the business data, job content, and other information you submit to the Service ("Customer Data"). You grant us a limited license to host, process, and display Customer Data solely as needed to provide the Service to you.
We own the Service itself, including its software, design, trademarks, and underlying technology. Nothing in these Terms transfers any of our intellectual property rights to you, except the limited right to use the Service as permitted here.
You may export or request deletion of your Customer Data as described in our Privacy Policy, subject to standard backup retention timelines.
7. Third-party services
The Service integrates with and relies on third-party providers, including Google (sign-in, maps, and geocoding), Lemon Squeezy (payment processing), and DigitalOcean (hosting infrastructure), collectively our "sub-processors." A current list of sub-processors is available in our Privacy Policy and, upon request, in our DPA, and updated as described there. Your use of these integrations may also be subject to those providers' own terms. We are not responsible for the availability, accuracy, or performance of third-party services outside our control, except as set out in our DPA (available on request) with respect to sub-processor obligations we have undertaken on your behalf.
7A. Sub-processor and payment processor responsibility
Lemon Squeezy acts as merchant of record for subscription payments and is solely responsible for payment card industry (PCI-DSS) compliance, payment processing, billing disputes, and chargebacks. We do not process or store full payment card numbers.
Our liability under Section 9 (Limitation of Liability) applies regardless of the cause of any claim, including where the claim arises from the acts, omissions, outage, or failure of a sub-processor or third-party service provider (including Google, Lemon Squeezy, or DigitalOcean) used to deliver the Service.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AIRSPACE, MAPPING, OR OTHER REFERENCE DATA DISPLAYED IN THE SERVICE IS ACCURATE, COMPLETE, OR CURRENT. WE ARE NOT AN AVIATION AUTHORITY AND DO NOT PROVIDE FLIGHT AUTHORIZATION.
8A. Force majeure
Neither party will be liable for any failure or delay in performance under these Terms resulting from causes beyond that party's reasonable control, including acts of God, natural disaster, war, terrorism, riot, labor conditions, governmental action, and outage, interruption, or failure of a third-party service provider, hosting provider, or communications network (including Google, Lemon Squeezy, or DigitalOcean). The affected party will use reasonable efforts to resume performance as soon as practicable.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKYDISPATCH AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE. This limitation applies regardless of the legal theory asserted and regardless of whether the underlying failure originates with SkyDispatch or with a third-party service provider used to deliver the Service.
10. Indemnification
You agree to indemnify and hold SkyDispatch harmless from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from: your use of the Service; your drone operations; your violation of these Terms or applicable law; or your relationship with your end-customers.
11. Termination
You may stop using the Service and cancel your account at any time. We may suspend or terminate your access to the Service if you violate these Terms, fail to pay applicable fees, or if we reasonably believe your use poses a risk to the Service, other users, or third parties. Upon termination, your right to use the Service ends, though provisions of these Terms that by their nature should survive (including Sections 6, 7A, 8A, 9, 10, 12, and 12A) will continue to apply.
12. Governing law and dispute resolution
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.
Any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Delaware, United States, and you consent to personal jurisdiction in those courts.
12A. Data processing
If you are an operator processing personal data of end-customers through the Service, our Data Processing Addendum ("DPA") applies to that processing and is incorporated into these Terms by reference. 13. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where the changes are material, provide additional notice (such as an email or in-app notification). Your continued use of the Service after an update takes effect constitutes acceptance of the revised Terms.
